Product-specific terms for the STA EmissionsTracker platform and modules

These Product Terms supplement the STA Customer Agreement and apply to the products and modules identified below. Capitalised terms not defined in these Product Terms have the meaning given in the Customer Agreement.
1. Contracting entity
The contracting entity for the products and modules described in these Product Terms is STA, being Sustainable Transport Advisory Pty Ltd ABN 75 657 423 222.
2. Product structure
The products are offered on the EmissionsTracker base platform. Customers may purchase one or more modules, additional user licences and related subscription entitlements.

3. Subscription Owner and administrators
- The person or entity purchasing a module subscription is the subscription Owner for that subscription unless STA records otherwise.
- The subscription Owner controls the commercial subscription, including purchased modules, user licences, billing contacts and administrative permissions for its account.
- The subscription Owner may nominate administrators and authorised users, but remains responsible for all activity carried out under the subscription.
4. Additional modules and additional licences
- A Customer may purchase one or more modules on the same base platform account, subject to STA’s then-current ordering process and pricing.
- A subscription Owner may also purchase additional user licences for an existing subscribed module.
- Unless otherwise stated in the applicable Order, additional modules or additional licences purchased part-way through a Subscription Term may be charged on a pro-rated basis for the balance of the current term and will thereafter renew with the relevant subscription.
- A licence or module purchase does not transfer ownership of the platform or any intellectual property; it grants only the contractual subscription rights described in the Customer Agreement and these Product Terms.
Hosting environment
The Products are hosted by STA using DigitalOcean cloud infrastructure in Australia. As at the Effective Date, the primary hosting region is DigitalOcean’s Australia region in Sydney, New South Wales. STA may change hosting arrangements, regions or infrastructure providers from time to time, provided that doing so does not materially reduce the overall security of the Products during the applicable Subscription Term.
5. Scope of use
- Each module may only be used within the Customer’s purchased subscription scope, including any limits relating to users, licences, entities, modules, locations or other usage metrics specified in the Order.
- The platform and modules are supplied for internal business, operational, reporting, educational or assessment use by the Customer and its authorised users.
- Customers must not exceed purchased licence counts or module entitlements. If they do, STA may require the Customer to purchase additional entitlements or adjust access.
6. Data and reporting outputs
- The quality and reliability of outputs generated through the platform depend materially on the accuracy, completeness and appropriateness of Customer data, settings and workflows.
- STA does not guarantee that platform outputs alone will satisfy every legal, audit, accounting, environmental, educational, operational or certification requirement of the Customer.
- Customers remain responsible for reviewing reports, calculations, records, assessments and outputs before relying on them for commercial, regulatory, compliance or operational decisions.
7. No AI, API or marketplace features at this time
As at the effective date of these Product Terms, STA does not currently offer public API access, AI features or a third-party marketplace as part of the standard product offering. If any such features are introduced in future, STA may issue updated Product Terms or additional feature terms.
8. Beta, pilot or preview features
Unless expressly identified by STA, the standard product offering does not include beta, pilot, trial or preview functionality. If STA later makes any beta or preview functionality available, STA may designate additional terms, limits, exclusions or disclaimers for those features.
9. Support and service levels
Support is governed by the STA Support Policy. Service targets are governed by the STA Service Level Commitments document, unless a separate Order or written agreement states otherwise.
10. Product changes
- STA may update, improve, maintain, patch, secure or modify the platform and modules from time to time.
- STA may change non-material features, user interface elements, workflows or architecture where reasonably required for security, maintenance, legal compliance or product improvement.
- If STA makes a material adverse change during a paid current term, the Customer’s rights are governed by the Customer Agreement.
11. Current exclusions
- No current public API access.
- No current AI-enabled functionality.
- No current third-party app marketplace.
- No current Victorian public-sector-specific product addendum.
- No current school-specific product addendum.
12. Order of precedence
If there is an inconsistency between these Product Terms and the Customer Agreement, the Customer Agreement prevails unless these Product Terms expressly state that they override a particular provision for a specific product, feature or module.
13. Payments
Online purchases, subscription renewals, additional Module purchases and additional User Licence purchases may be processed through Stripe. Stripe is a third-party payment processor and may apply its own technical, fraud-screening and transaction processing requirements to payment transactions.
14. Infrastructure and payments
STA hosts the Platform using DigitalOcean cloud infrastructure in Australia and uses Stripe to process online subscription payments. Payment-related personal information may be processed by Stripe outside Australia in accordance with Stripe’s systems and privacy practices.
